1. Introduction

Welcome to RapidQuote, a Quotation Management System developed and operated by Proelite Hospitality Private Limited. By activating an account or using this platform, you agree to comply with these Terms and Conditions. If you do not agree, please do not access or use the platform.

2. Licence Grant

You are granted a non-exclusive, non-transferable licence to access and use RapidQuote under a valid subscription plan provided by Proelite Hospitality Private Limited. The platform may only be used for legitimate business purposes as intended.

3. Restrictions

• You may not copy, modify, distribute, resell, or sublicense the platform or any of its components without prior written consent from Proelite Hospitality Private Limited.
• You may not attempt to reverse-engineer, decompile, or tamper with the platform or its authentication and subscription mechanisms.
• Your account credentials and subscription are for your use only and cannot be shared, resold, or redistributed.
• You are restricted from using the platform in any unlawful manner or in a way that could harm the platform, its users, or Proelite Hospitality Private Limited.
• Engaging in data mining, scraping, or automated extraction of content from the platform is strictly prohibited.

4. Data & Privacy

RapidQuote operates as an offline-first platform. All business data is stored locally on your system and is not transmitted to Proelite Hospitality Private Limited’s servers. We do not collect personal or business data beyond what is necessary for licence verification, and we will not share your data without your consent. Keeping your system secure and your data backed up is your responsibility. The app makes the backup part easy with Google Drive (see Section 5).

By submitting or displaying content within the platform, you grant Proelite Hospitality Private Limited a non-exclusive, worldwide, irrevocable, sub-licensable licence to use, reproduce, adapt, publish, translate, and distribute such content as required for providing and improving the service.

5. Google Drive Backup & Restore

You can back up your RapidQuote data straight to your own Google Drive from inside the app, and import it back from there whenever you need to. This comes in handy when you switch to a new computer, reinstall the app, or just want peace of mind.

Here’s how it works, in plain terms:

• The backup goes directly from your device to your Google Drive. It doesn’t pass through our servers, and we never see what’s in it.
• We don’t keep a copy of your backup anywhere - not on our servers and not tucked away on your device. The only copy is the one sitting in your Drive.
• Importing works the same way in reverse. The app fetches the file from your Drive and restores it on your device. Nothing touches our side.
• To use this, you’ll sign in with Google and allow the app to access Drive. We use that access only to save and read your RapidQuote backup files. You can take it back any time from your Google Account settings.

Simply put, this is a task that happens entirely between your device and your own Google account. We don’t take any of your data in the process.

Since the backup lives in your Google account, looking after that account is up to you. If a backup file gets deleted or changed in Drive, or someone else gets into your account, we won’t be able to recover it for you. Your use of Google Drive is also covered by Google’s own terms and privacy policy. We still recommend backing up regularly, especially before updating the app or moving to another machine.

6. GST Reports (GSTR-1)

RapidQuote can put together a GSTR-1 report from the invoices you’ve created in the app. The idea is to save you the time and effort of collecting all that data by hand.

That said, please treat this report as a helping hand, not the final word. It can only be as accurate as the details you entered, and GST rules, rates, and filing formats do change from time to time. Before you file anything on the GST portal, get your CA or tax consultant to go through the report and confirm it’s correct.

Filing your GST returns, and making sure they’re right, remains your responsibility. Proelite Hospitality Private Limited won’t be liable for any tax, interest, penalty, or notice that comes from an error in a report generated by the app, or from filing it without getting it checked first.

7. Online Payments & Subscriptions

You can purchase a RapidQuote subscription directly through our website or app. All online payments are processed securely by Razorpay, a third-party payment gateway. Razorpay supports common payment methods such as credit cards, debit cards, UPI, and net banking.

• Payment information: Your payment details are entered on Razorpay’s secure checkout and are handled entirely by Razorpay. Proelite Hospitality Private Limited does not collect or store your card number, CVV, card expiry date, UPI ID, or bank login details. We only receive confirmation of whether the payment was successful, along with a transaction reference, so that we can activate your subscription.
• Payment receipt: Once your payment is successful, you will receive a confirmation email containing the receipt for your purchase. We recommend keeping this email for your records. If you do not receive it, please check your spam or promotions folder before writing to us at hello@rapidquote.in.
• Failed or pending payments: If an amount is debited from your account but your subscription is not activated, please email us at hello@rapidquote.in with your transaction details and we will help resolve it.
• Third-party terms: Your use of Razorpay is also subject to Razorpay’s own terms of service and privacy policy. Proelite Hospitality Private Limited is not responsible for delays, failures, or errors caused by the payment gateway, your bank, or your payment provider.

Subscription validity, renewal, and related payment terms are described in the User Agreement.

8. Intellectual Property

RapidQuote, including its design, documentation, and branding, is the intellectual property of Proelite Hospitality Private Limited. All rights are reserved. Nothing in these Terms transfers any ownership of intellectual property to you.

9. Disclaimer of Warranties

The platform is provided “as is” without warranties of any kind.Proelite Hospitality Private Limited does not guarantee uninterrupted or error-free use of the service. To the fullest extent permitted by applicable law, we disclaim all express and implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

Proelite Hospitality Private Limited, including its officers, directors, and employees, shall not be liable for any damages, including but not limited to loss of business, data, or profits, arising out of the use or inability to use the platform. In no event shall our total liability to you for all claims arising under these Terms exceed the amount you paid to us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Proelite Hospitality Private Limited from any claims, liabilities, costs, or expenses - including reasonable legal fees - arising from your breach of these Terms or your use of the platform.

12. Termination

Proelite Hospitality Private Limited may suspend or revoke your access if you fail to comply with these Terms. Upon termination, you must cease all use of the platform. Since the software operates offline, all locally stored data remains on your system and is not deleted by us. Refer to the User Agreement for full details on the circumstances under which termination may occur and its effects.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

14. Variation of Terms

Proelite Hospitality Private Limited reserves the right to revise these Terms at any time. We will notify you of material changes via email or a prominent notice within the platform before the changes take effect. Continued use of the platform after revised Terms are posted constitutes your acceptance of those changes.

15. Governing Law

These Terms are governed by the laws of India. Any disputes arising out of or relating to these Terms or the platform shall be subject to the exclusive jurisdiction of the courts in Gujarat, India.

16. Enforcement & Legal Action

Any attempt to crack, bypass, or redistribute the platform or account credentials will be treated as a violation of intellectual property and applicable laws.Proelite Hospitality Private Limited reserves the right to pursue civil or criminal action for any such violations.

17. User Agreement

If you have purchased a licence to install and use RapidQuote as offline software, your relationship with Proelite Hospitality Private Limited is also governed by a separate User Agreement. That document sets out the detailed rights and obligations between the software buyer and the Owner, including:

• Offline operation and local data ownership
• Licence purchase, subscription validity, and renewal terms
• The Owner’s right to terminate or suspend a licence
• Buyer obligations and restrictions on use
• Support, updates, and payment terms

In the event of any conflict between these Terms and Conditions and the User Agreement with respect to a software licence purchase, the User Agreement shall prevail.
