1. Introduction

Welcome to RapidQuote, a Quotation Management System developed and operated by Proelite Hospitality Private Limited. By activating an account or using this platform, you agree to comply with these Terms and Conditions. If you do not agree, please do not access or use the platform.

2. Licence Grant

You are granted a non-exclusive, non-transferable licence to access and use RapidQuote under a valid subscription plan provided by Proelite Hospitality Private Limited. The platform may only be used for legitimate business purposes as intended.

3. Restrictions

• You may not copy, modify, distribute, resell, or sublicense the platform or any of its components without prior written consent from Proelite Hospitality Private Limited.
• You may not attempt to reverse-engineer, decompile, or tamper with the platform or its authentication and subscription mechanisms.
• Your account credentials and subscription are for your use only and cannot be shared, resold, or redistributed.
• You are restricted from using the platform in any unlawful manner or in a way that could harm the platform, its users, or Proelite Hospitality Private Limited.
• Engaging in data mining, scraping, or automated extraction of content from the platform is strictly prohibited.

4. Data & Privacy

RapidQuote operates as an offline-first platform. All business data is stored locally on your system and is not transmitted to Proelite Hospitality Private Limited’s servers. We do not collect personal or business data beyond what is necessary for licence verification, and we will not share your data without your consent. You are responsible for managing your own data backups and securing your system.

By submitting or displaying content within the platform, you grant Proelite Hospitality Private Limited a non-exclusive, worldwide, irrevocable, sub-licensable licence to use, reproduce, adapt, publish, translate, and distribute such content as required for providing and improving the service.

5. Intellectual Property

RapidQuote, including its design, documentation, and branding, is the intellectual property of Proelite Hospitality Private Limited. All rights are reserved. Nothing in these Terms transfers any ownership of intellectual property to you.

6. Disclaimer of Warranties

The platform is provided “as is” without warranties of any kind.Proelite Hospitality Private Limited does not guarantee uninterrupted or error-free use of the service. To the fullest extent permitted by applicable law, we disclaim all express and implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

7. Limitation of Liability

Proelite Hospitality Private Limited, including its officers, directors, and employees, shall not be liable for any damages, including but not limited to loss of business, data, or profits, arising out of the use or inability to use the platform. In no event shall our total liability to you for all claims arising under these Terms exceed the amount you paid to us in the 12 months preceding the claim.

8. Indemnification

You agree to indemnify and hold harmless Proelite Hospitality Private Limited from any claims, liabilities, costs, or expenses - including reasonable legal fees - arising from your breach of these Terms or your use of the platform.

9. Termination

Proelite Hospitality Private Limited may suspend or revoke your access if you fail to comply with these Terms. Upon termination, you must cease all use of the platform. Since the software operates offline, all locally stored data remains on your system and is not deleted by us. Refer to the User Agreement for full details on the circumstances under which termination may occur and its effects.

10. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

11. Variation of Terms

Proelite Hospitality Private Limited reserves the right to revise these Terms at any time. We will notify you of material changes via email or a prominent notice within the platform before the changes take effect. Continued use of the platform after revised Terms are posted constitutes your acceptance of those changes.

12. Governing Law

These Terms are governed by the laws of India. Any disputes arising out of or relating to these Terms or the platform shall be subject to the exclusive jurisdiction of the courts in Gujarat, India.

13. Enforcement & Legal Action

Any attempt to crack, bypass, or redistribute the platform or account credentials will be treated as a violation of intellectual property and applicable laws.Proelite Hospitality Private Limited reserves the right to pursue civil or criminal action for any such violations.

14. User Agreement

If you have purchased a licence to install and use RapidQuote as offline software, your relationship with Proelite Hospitality Private Limited is also governed by a separate User Agreement. That document sets out the detailed rights and obligations between the software buyer and the Owner, including:

• Offline operation and local data ownership
• Licence purchase, subscription validity, and renewal terms
• The Owner’s right to terminate or suspend a licence
• Buyer obligations and restrictions on use
• Support, updates, and payment terms

In the event of any conflict between these Terms and Conditions and the User Agreement with respect to a software licence purchase, the User Agreement shall prevail.
